USER AGREEMENT AND SITE POLICY
DEFINITIONS
User : Any user
of ResumeAction including but not limited to Recruiters, JobSeekers, Affiliates, Counselors.
ResumeAction: ResumeAction.com website, and its parent company Intes LLC.
ACCEPTABLE USE
User agrees to use
ResumeAction to obtain and exchange employment specific
data.
User
shall have the right to publish through the ResumeAction certain
content describing the User and such other
information.
Unless otherwise agreed in advance, User
hereby grants ResumeAction, a royalty-free, non-exclusive license to
use, disclose, reproduce, modify, license and distribute any and all
content provided by User to the ResumeAction.
CONTENT RESTRICTIONS
While ResumeAction does not and cannot review every
message or items published by Users on the ResumeAction and is not
responsible for the content of these published materials, ResumeAction
reserves the right to edit content that ResumeAction deems defamatory,
obscene, in violation of copyright or trademark laws, or otherwise
unacceptable.
REGISTRATION AND SECURITY
User shall provide
ResumeAction with registration information that correctly represents
User's professional licensing, experience and ability.
User shall notify ResumeAction at administrator@ResumeAction.com
of any known or suspected unauthorized use(s) of User's account, or any
known or suspected breach of security.
COMMUNICATIONS BETWEEN ResumeAction AND MEMBERS
Unless User indicates by notifying
administrator@ResumeAction.com
that User does not want to
receive such information, ResumeAction reserves the right to disclose
certain limited User information for the purpose of providing User
with information about products and ResumeAction.
ResumeAction reserves the right to send electronic mail to any
and all Users for the purpose of informing them of changes or additions
to the ResumeAction, this Agreement, or of any ResumeAction
related products and ResumeAction.
CHANGES TO
ResumeAction
ResumeAction reserves the right to
change or discontinue any part of the ResumeAction website and
service. ResumeAction may also impose limits on certain features
without notice or liability. Notification of any such change will be
posted on the ResumeAction or sent to User via e-mail.
If
ResumeAction makes changes to the ResumeAction, and if the changes
cause User to be in default under the terms of this Agreement, User
may terminate its subscription by sending an e-mail notice of termination
to administrator@resumeaction.com.
However, User's continued use of the ResumeAction following the
posting of notice of any such change will constitute a binding acceptance
by User.
TERMINATION AND REFUND POLICY
User may terminate User's account at any time by
sending e-mail to adminstrator@resumeaction.com
Promotional
products provided with purchase by ResumeAction are provided without
an ResumeAction warranty of any kind, expressed or implied, including
those of merchantability and fitness for a particular purpose, or arising
from a course of dealing, usage or trade practice. Any and all warranties
available for promotional products are provided directly by the
manufacturer. ResumeAction makes no warranties or representations
regarding the accuracy or completeness of the promotional product
information provided.
SITE
LIMITATION
User
hereby indemnifies, defends and holds ResumeAction, its parent company Intes LLC.and their officers, directors, owners, agents, information
providers, affiliates, licensors, licensees, and Users (collectively,
the "Indemnified Parties") harmless from and against any and all liability
and costs incurred by the Indemnified Parties in connection with any claim
arising out of any technical failure in ResumeAction. Technical
failure may occur as a result of power failure, Site upgrade, faulty
internet connection, programming errors, database errors, and any other
cause.
User hereby
indemnifies, defends and holds ResumeAction, its parent company Intes LLC., and their officers, directors, owners, agents, information
providers, affiliates, licensors, licensees, and Users (collectively,
the "Indemnified Parties") harmless from and against any and all liability
and costs incurred by the Indemnified Parties in connection with any claim
arising out of any Administration failure or errors in ResumeAction.
Administration Failure and error can occur by reason of human error or
computer error and are not limited by
scope.
REPRESENTATIONS AND WARRANTIES
User represents, warrants and covenants:
(a) that no
materials of any kind submitted through User's account will (i)
violate, plagiarize, or infringe upon the rights of any third party,
including copyright, trademark, privacy or other personal or proprietary
rights; or (ii) contain libelous or otherwise unlawful material;
(b) that
User's published materials on the ResumeAction or use of the
ResumeAction does not violate any federal, state or local
laws.
User hereby indemnifies, defends and holds ResumeAction, and its officers, directors, owners, agents, information
providers, affiliates, licensors, licensees, and Users (collectively,
the "Indemnified Parties") harmless from and against any and all liability
and costs incurred by the Indemnified Parties in connection with any claim
arising out of any breach by User of this Agreement, including,
reasonable attorneys' fees and costs.
THE
ResumeAction IS USED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY
KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES
OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A
PARTICULAR PURPOSE. User HEREBY ACKNOWLEDGES THAT USE OF THE
ResumeAction.COM IS AT User'S SOLE RISK.
